Terms and Conditions of Sale — Scientico India
These Terms and Conditions govern all sales of laboratory equipment and related products by Scientico India (registered as Scientico, 71 Industrial Area, Ambala Cantt, Haryana 133001, India). By placing an order with Scientico India, the buyer agrees to these terms. These terms apply to both domestic (India) and international (export) orders unless otherwise specified.
1. Orders and Order Confirmation
1.1 All orders must be placed in writing — by email, purchase order, or formal letter — on the buyer’s letterhead. Verbal orders are not accepted.
1.2 An order is confirmed only upon receipt of the advance payment (or signed LC, where applicable) and our written order acknowledgement. Until then, the order is not binding on Scientico India.
1.3 Proforma invoices are valid for 30 days from the date of issue. Price revisions may apply to orders placed after expiry.
2. Pricing and Payment Terms
2.1 All prices quoted in proforma invoices are exclusive of applicable taxes, duties, and freight unless stated as CIF (Cost, Insurance, Freight).
2.2 Standard payment terms for domestic (India) orders: 50% advance with order confirmation; 50% balance before dispatch.
2.3 Standard payment terms for export orders: 50% advance via SWIFT wire transfer or confirmed irrevocable LC; 50% balance before dispatch against copies of shipping documents.
2.4 Bank transfer charges, currency conversion charges, and intermediary bank charges are the responsibility of the buyer.
3. Manufacturing and Delivery
3.1 Manufacturing lead times are indicative and begin from the date of order confirmation (receipt of advance payment). Standard lead time is 4–6 weeks; customised or large orders are 6–10 weeks.
3.2 Delivery timelines for export shipments are estimates and may vary due to shipping schedules, port congestion, or force majeure events beyond Scientico India’s control.
3.3 Risk of loss or damage transfers to the buyer at the point of dispatch from our facility (Ex-Works basis), or at the destination port for CIF shipments.
4. Warranty
4.1 Scientico India warrants all equipment against manufacturing defects in materials and workmanship for a period of 12 months from the date of dispatch.
4.2 Warranty obligations are limited to repair or replacement of defective parts or units, at Scientico India’s discretion. We do not accept claims for consequential or indirect losses.
4.3 The warranty is void if: equipment has been misused, improperly installed, modified without our written consent, or damaged through accident, negligence, or improper storage.
4.4 Consumable items (rubber gaskets, heating elements, belts, bulbs) are not covered under warranty unless defective on delivery.
5. Returns and Cancellations
5.1 Orders may be cancelled within 72 hours of confirmation without penalty. After 72 hours, cancellations are subject to a cancellation charge of 15–30% of order value, depending on the stage of manufacturing.
5.2 Equipment that has been manufactured to custom specifications is non-returnable unless defective on delivery.
5.3 Claims for shortage, damage, or wrong items must be made within 7 days of receipt of goods, with photographic evidence submitted to [email protected].
6. Intellectual Property
6.1 All experiment manuals, technical drawings, product specifications, and documentation supplied with equipment are the intellectual property of Scientico India and are provided for the buyer’s internal use only.
6.2 Reproduction or redistribution of our documentation for commercial purposes without written consent is prohibited.
7. Dispute Resolution
7.1 Any dispute arising from these terms or from the sale of equipment shall first be attempted through written notice and negotiation within 30 days.
7.2 Unresolved disputes shall be subject to arbitration under the Arbitration and Conciliation Act, 1996 (India), with proceedings conducted in Ambala, Haryana.
7.3 These terms are governed by the laws of India. The courts of Ambala, Haryana shall have exclusive jurisdiction for all matters not resolved through arbitration.
